Terms and Conditions

These Terms and Conditions (Terms) govern access to and use of SpotOnTask, operated by Anh Tuan Nguyen trading as Spot On Task (ABN 12 755 798 605) (SpotOnTask, we, us, or our), including spotontask.com, our applications, and related marketplace services (the Platform).

Effective date: 4 September 2026
Contact: [email protected]
Business location: Northern Territory 0820, Australia

By creating an account or continuing to use the Platform after these Terms take effect, you agree to them. If you do not agree, do not use the Platform. These Terms should be read with the Privacy Policy, applicable Community Standards, restricted-task rules, and payment and cancellation policies linked below.

1. Definitions

  • Poster: A user who posts and funds a task.
  • Worker: A user who offers to perform or is assigned a task.
  • Offer: A Worker's fixed-total proposal for a task.
  • Task Contract: The agreement between the Poster and Worker formed when the Poster accepts an Offer.
  • Task Payment: The amount funded by the Poster through the Platform for a task.
  • Balance or task credit: An internal Platform record that may be subject to different use, eligibility, refund, or cash-out rules depending on its source.
  • Content: Task posts, profiles, offers, messages, reviews, images, documents, and other material submitted to the Platform.

2. Eligibility and accounts

You must be at least 18, legally capable of entering a contract, and use the Platform only for lawful purposes. If acting for an organisation, you represent that you have authority to bind it.

You must provide accurate information, keep it current, and protect your credentials. Do not sell, transfer, share, or create multiple accounts to avoid history, fees, or restrictions. You are responsible for activity carried out through your account except to the extent caused by SpotOnTask's breach of law or failure to use reasonable care.

Workers must be legally entitled, competent, and appropriately licensed or qualified to perform the services they offer. Verification and badges are limited trust signals; they are not guarantees of identity, suitability, legality, workmanship, or future conduct.

3. The Platform's role

SpotOnTask operates a marketplace and provides listing, matching, messaging, payment-facilitation, review, support, and safety tools. Unless expressly stated for a particular service, SpotOnTask does not perform the Worker's services and is not a party to the Task Contract between Poster and Worker.

SpotOnTask does not guarantee that a task will receive an Offer, that a user is available or suitable, that work will be completed, or that a stated outcome will occur. Users must make their own reasonable checks.

Nothing in these Terms determines a legal classification where applicable law produces a different result. Employee-like Workers and other regulated Workers retain any rights that cannot lawfully be excluded.

4. Posting a task

A Poster must describe a genuine, lawful task accurately, including scope, timing, location, access, hazards, expected outcome, and any licence or equipment requirement. The Poster must not publish private contact information, request prohibited activity, discriminate unlawfully, or use a task as advertising, spam, lead harvesting, or a way to manipulate reviews or referrals.

The Poster chooses the budget and funds it when posting. Optional category, matching, writing, and budget suggestions are estimates or assistance only; the Poster remains responsible for the final post and budget.

5. Offers, assignment, and the Task Contract

A Worker must review the task, ask necessary questions, and submit one fixed total covering the agreed labour, materials, travel, and other expected costs. Open-ended hourly, unit, commission, partial, inspection-only, or quote-only arrangements are not supported through an Offer.

The Task Contract forms between the Poster and Worker when the Poster accepts an Offer. The accepted task description, Offer, and written Platform messages form the initial scope. Other Offers may then close.

An Offer above the funded budget cannot be accepted until the Poster increases the budget and funds the difference. Any material change to scope, timing, location, materials, or price should be clearly agreed in Platform messages and reflected in the funded task before extra work begins.

6. Payments and fees

Task Payments are processed by Stripe, Airwallex where enabled, or another disclosed provider. The Poster is charged when the task is posted. SpotOnTask records the payment as Held while the task is open, assigned, or in progress. Accepting an Offer does not create the original funding charge.

Held describes the Platform's payment status. It does not mean that SpotOnTask is a bank or that a user earns interest on the amount. Payment-provider terms and risk checks also apply.

A Worker sees the Offer amount, applicable fee, and You'll receive amount before submitting or updating an Offer. The Platform currently compares the configured Worker platform fee with the applicable payment-processing transaction fee and uses the larger amount. The displayed breakdown for the Offer governs unless there is an obvious error, fraud, chargeback, or legal requirement to adjust it.

Keep every task payment, deposit, tip, purchase, reimbursement, refund, and price adjustment on SpotOnTask. Do not ask for or make cash, bank-transfer, cryptocurrency, gift-card, or other direct task payments.

7. Completion and payment release

The Worker should request release only after completing the agreed scope. The Poster should inspect the work and address outstanding questions before selecting Release payment.

On release, the Worker's net amount is credited to the Worker's SpotOnTask balance and the task is marked completed. Release is not an automatic bank payout. If the accepted Offer is below the funded budget, the unused amount is credited to the Poster's applicable balance through the Platform's release flow.

A completed task or released payment cannot be cancelled or refunded through the normal cancellation action. Statutory rights, payment-provider processes, chargebacks, fraud controls, and any agreed or legally required remedy continue to apply.

8. Balances, credits, and cash-outs

Balances are Platform ledger entries, not bank deposits, stored value guaranteed by government, or interest-bearing accounts. Their permitted use depends on their source:

  • eligible released earnings and eligible returned amounts may be available for cash-out
  • Poster referral task credits can be limited to eligible future task payments and are not cash-withdrawable
  • Worker referral rewards are subject to their stated eligibility, completion, dispute, and anti-abuse rules

Cash-out requires the setup and security checks shown by the Platform, currently including supported payout setup, billing address, two-factor authentication, and an available balance above $10. Standard and instant timing is estimated, not guaranteed. Provider eligibility, reviews, banking hours, weekends, public holidays, and fees can affect timing.

9. Cancellations, refunds, and disputes

The current cancellation rules are described in the Accountability & Cancellation Framework. The cancellation preview displayed for a task shows the available action and financial result before confirmation.

  • For an eligible Poster cancellation, payment-processing or configured cancellation deductions may apply, and the remaining eligible amount is generally added to the Poster's SpotOnTask balance rather than automatically returned to the original card.
  • An assigned Worker cancellation currently does not deduct a cancellation fee from future payouts, but repeated cancellations can temporarily restrict Offers or Platform access.
  • A held payment in dispute cannot be cancelled through the normal flow.

Users should first communicate reasonably through task chat. SpotOnTask may provide operational support, review Platform records, preserve evidence, restrict release, or apply an available payment action. SpotOnTask does not act as a court or guarantee a particular outcome. Do not arrange a separate payment or refund while a dispute is being reviewed.

10. User responsibilities and safety

Workers must use reasonable care and skill and comply with applicable licensing, safety, tax, consumer, and other laws. Posters must provide accurate information, lawful instructions, reasonable cooperation, and a safe environment under their control. Each party must disclose relevant hazards and stop or raise concerns if conditions become unsafe or materially different.

SpotOnTask does not provide or pay for task insurance. Each user is responsible for assessing risk and obtaining any insurance, permit, licence, equipment, or professional advice independently required for their circumstances.

Subcontracting or substitution requires the Poster's informed agreement. The assigned Worker remains responsible for compliance with the Task Contract unless the parties lawfully agree otherwise.

11. Prohibited conduct

You must not engage in fraud, harassment, threats, discrimination, illegal or unsafe activity, fake reviews, misleading credentials, fee circumvention, off-platform payments, data harvesting, unauthorised access, impersonation, spam, malware, interference with security controls, or attempts to manipulate rankings, referrals, or marketplace records.

See restricted task activities, Workers community standards, and Posters community standards.

12. Reviews and Content

Reviews must reflect a genuine task experience and must not contain unlawful, fraudulent, threatening, irrelevant, or unnecessarily private information. SpotOnTask may moderate or remove Content that violates these Terms or law, but is not obliged to pre-screen every item.

You retain ownership of your Content. You grant SpotOnTask a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, communicate, moderate, and make technical adaptations to that Content only as reasonably needed to operate, secure, promote, improve, and enforce the Platform, comply with law, and preserve transaction or dispute records. This licence ends when the purpose no longer requires the Content, subject to public Content already shared, lawful retention, backups, disputes, and third-party rights.

You represent that you have the rights and permissions needed to submit Content, including permission for identifiable people, property, documents, and portfolio work shown.

13. Privacy and third-party services

Our handling of personal information is described in the Privacy Policy. Third-party payment, identity, payout, social sign-in, mapping, messaging, AI, or other services have their own terms and privacy notices. Their services may be unavailable or changed independently of SpotOnTask.

14. Intellectual property

The Platform software, design, branding, documentation, and other materials supplied by SpotOnTask or its licensors are protected by intellectual-property law. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose.

You must not copy, sell, sublicense, scrape, reverse engineer except where law permits, bypass controls, or use SpotOnTask branding in a misleading way.

15. Availability and changes

We may maintain, change, suspend, or discontinue Platform features and may correct errors. We do not guarantee uninterrupted or error-free availability. We will take reasonable care in providing Platform services and will not use this section to exclude rights that cannot legally be excluded.

16. Account restrictions, suspension, and closure

SpotOnTask may remove Content or restrict, suspend, or close an account where reasonably necessary for safety, fraud or payment risk, serious or repeated rule breaches, legal compliance, system security, or protection of users and the Platform. Where appropriate and lawful, we may act immediately.

Where required by law, including applicable protections for employee-like or other regulated Workers, SpotOnTask will provide required notice, reasons, opportunity to respond, review, records, or remedies. A user can contact Support to challenge an action or provide additional information. Nothing in these Terms excludes an eligible Worker's right to apply to the Fair Work Commission or exercise another statutory right.

You may request account closure through Support. Closure may be delayed until active tasks, payments, disputes, cash-outs, and balances are resolved. Some transaction, invoice, task, review, fraud, safety, and legal records remain retained or anonymised as explained in the Privacy Policy.

17. Consumer guarantees, disclaimers, and liability

Nothing in these Terms excludes, restricts, or modifies a consumer guarantee, remedy, or other right that cannot lawfully be excluded, including under the Australian Consumer Law.

Subject to those rights, SpotOnTask does not guarantee a user's identity, statements, qualifications, suitability, performance, task outcome, or ability to pay. Users remain responsible for the Task Contract and their decisions.

To the extent permitted by law, SpotOnTask is not liable for indirect or consequential loss that was not reasonably foreseeable, or for loss caused by a user, third party, unlawful instruction, inaccurate Content, or event outside our reasonable control. Any limitation applies only to the extent lawful and does not apply to liability that cannot be limited.

18. Indemnity

To the extent permitted by law, you indemnify SpotOnTask against third-party claims and reasonable losses directly arising from your unlawful Content or conduct, your material breach of these Terms or a Task Contract, or your infringement of another person's rights. This does not require you to indemnify SpotOnTask for loss caused by SpotOnTask's own negligence, wilful misconduct, breach of these Terms, or breach of law. We must take reasonable steps to mitigate a claimed loss.

19. Taxes

Users are responsible for determining and meeting their own tax, invoicing, registration, reporting, and payment obligations. SpotOnTask may collect, retain, report, or disclose transaction and identity information where required by law. A Worker's ABN verification does not mean SpotOnTask has advised on GST or other tax obligations.

20. Complaints and disputes with SpotOnTask

Contact [email protected] first with the account, task, payment, and outcome involved. We will attempt to assess the issue within a reasonable period. This does not prevent either party from seeking urgent relief, contacting a regulator, using a payment-provider process, or exercising a right that cannot be excluded.

These Terms are governed by the laws applying in the Northern Territory, Australia. The parties submit to the non-exclusive jurisdiction of courts with jurisdiction there, except where mandatory law permits or requires another forum.

21. Changes to these Terms

We may update these Terms for legal, security, provider, or product changes. We will publish the new effective date and give reasonable notice of material changes. If a change requires consent, we will request it. Changes do not retrospectively alter an existing Task Contract unless the parties agree or law requires.

22. General

If a provision is invalid or unenforceable, it is read down to the minimum extent necessary or severed, while the remaining provisions continue. A delay in enforcing a right is not a waiver. You may not assign your account or these Terms without our written consent; SpotOnTask may transfer its rights and obligations as part of a genuine business transfer if the transfer does not reduce non-excludable rights.

These Terms and the policies expressly incorporated into them form the agreement between you and SpotOnTask about the Platform. For a Task Contract, the accepted task, Offer, and agreed Platform messages also apply between the Poster and Worker. If a help article conflicts with these Terms, these Terms prevail for the Platform relationship, subject always to applicable law and the specific accepted Task Contract.
